Amended and Restated Articles of Incorporation of the Museum of Northwest Art
Amended and Restated MoNA Bylaws
Washington’s new Nonprofit Corporation Act (Chapter 24.03A of the Revised Code of Washington), which took effect January 1, 2022, requires revisions to MoNA’s current Articles of Incorporation and Bylaws. Because the revisions include a small change to Member notice requirements for special meetings (increasing the notice approval from 5% to 20% of the Members), the Members need to approve and adopt the proposed Amended and Restated Articles of Incorporation of MoNA and the Amended and Restated Bylaws of MoNA which will be adopted by the Board following the Members meeting. We have consulted outside legal counsel who have assisted with the drafting of the proposed documents. The Board supports and will adopt the updated governance documents following the Members annual meeting.
